API Terms of Service

Thank you for using G2 Risk Solutions (G2RS)’ APIs, other developer services, and associated software (collectively, “APIs”). By accessing or using our APIs, you are agreeing to the terms below. If there is a conflict between these terms and additional terms applicable to a given API, the additional terms will control for that conflict. Collectively, we refer to the terms below, the terms of any other agreements you have entered into regarding the use of these services, terms within the accompanying API documentation, and any applicable policies and guidelines as the “Terms.” You agree to comply with the Terms and that the Terms control your relationship with us. So please read all the Terms carefully. If you use the APIs as an interface to, or in conjunction with other G2RS products or services, then the terms for those other products or services also apply.

Under the Terms, “G2RS” means G2 Web Services, Inc., with offices at 111 Anza Blvd, Suite 310, Burlingame, CA 94010, United States, and all of its affiliates, unless set forth otherwise in additional terms applicable for a given API. We may refer to “G2RS” as “we”, “our”, or “us” in the Terms. “API Client” means any individual, company, or other legal entity that has registered for and been granted access to any G2RS application programming interface (API) under a paid subscription or usage-based agreement, and that accesses or uses the API to build, operate, or integrate software applications, products, or services.

Section 1: Account and registration

a. Accepting the terms

You may not use the APIs and may not accept the Terms if (a) you are not of legal age to form a binding contract with G2RS, or (b) you are a person barred from using or receiving the APIs under the applicable laws of the United States or other countries, including the country in which you are resident or from which you use the APIs.

b. Entity-level acceptance

If you are using the APIs on behalf of an entity, you represent and warrant that you have authority to bind that entity to the Terms, and by accepting the Terms, you are doing so on behalf of that entity (and all references to “you” in the Terms refer to that entity).

c. Registration

In order to access certain APIs, you may be required to provide certain information (such as identification or contact details) as part of the registration process for the APIs, or as part of your continued use of the APIs. Any registration information you give to G2RS will always be accurate and up to date, and you’ll inform us promptly of any updates.

d. Subsidiaries and affiliates

G2RS has subsidiaries and affiliated legal entities around the world. These companies may provide the APIs to you on behalf of G2RS, and the Terms will also govern your relationship with these companies.

Section 2: Using our APIs

a. Your end users

You will require your end users to comply with (and not knowingly enable them to violate) applicable law, regulation, and the Terms.

b. Compliance with law, third-party rights, and other G2RS terms of service

You will comply with all applicable laws, regulations, and third-party rights (including without limitation laws regarding the import or export of data or software, privacy, and local laws). You will not use the APIs to encourage or promote illegal activity or violation of third-party rights. You will not violate any other terms of service with G2RS (or its affiliates).

c. Permitted access

You will only access (or attempt to access) an API by the means described in the documentation of that API. If G2RS assigns you developer credentials (e.g., client IDs), you must use them with the applicable APIs. You will not misrepresent or mask either your identity or your API Client’s identity when using the APIs or developer accounts.

d. API limitations

G2RS sets and enforces limits on your use of the APIs (e.g., limiting the number of API requests that you may make or the number of users you may serve), in our sole discretion. G2RS reserves the right to change these limits upon fifteen (15) days notice. You agree to, and will not attempt to circumvent, such limitations. If you would like to use any API beyond these limits, you must obtain G2RS’ express consent (and G2RS may decline such request or condition acceptance on your agreement to additional terms and/or charges for that use). To seek such approval, contact the relevant G2RS API team for information through your customer success point of contact.

e. API updates

G2RS reserves the right to periodically update the APIs, which may render them non-backwards compatible.

(i) Modifications and Updates. G2RS may, without prior notice, modify or update an API, or may release a new version of an API at any time and for any reason, including, but not limited to, to (i) address client needs or otherwise address competitive demands, (ii) respond to a government regulation, order, or law, or (iii) advance innovation in its Service offerings. G2RS reserves the right to add new features or functionality to, or remove existing features or functionality from, an API. Notwithstanding the foregoing, G2RS shall provide users with no less than ninety (90) days’ prior written notice before implementing any modification, update, upgrade, or other change to the API that is not backward compatible or that G2RS would have reason to believe would reasonably be expected to require user to materially modify their applications, integrations, or systems. During such ninety (90) day notice period, G2RS shall continue to support the prior version of the affected API to allow sufficient time to implement any required changes.
(ii) New Versions. G2RS may introduce new versions of the APIs from time to time, including versions that are not backwards compatible with prior versions. G2RS will designate API versions through its standard versioning conventions.
(iii) Deprecation Notice. When G2RS elects to deprecate an API version or feature, G2RS will use commercially reasonable efforts to provide no less than ninety (90) days’ advance notice via email to the address associated with your account.
(iv) Emergency Changes. Notwithstanding the foregoing, G2RS may modify, restrict, or dis-continue any API or API feature immediately and without prior notice if G2RS reasonably determines that such action is necessary to (a) address a security vulnerability or threat, (b) comply with applicable law, regulation, or court order, (c) prevent harm to G2RS, its users, or third parties, or (d) address material technical failures or service integrity concerns. G2RS will use commercially reasonable efforts to notify you of any such emergency changes as soon as reasonably practicable.
(v) Migration Support. When a new version of an API is released, G2RS may, but is not obligated to, provide migration guides, tools, or documentation to assist in transitioning to the updated version. Your continued use of a deprecated API version after the stated deprecation date is at your sole risk, and G2RS shall have no liability for any issues arising from such continued use.
(vi) No Liability for Changes. To the maximum extent permitted by applicable law, G2RS shall not be liable for any damages, costs, or losses arising from any modification, suspension, deprecation, or discontinuation of any API or API feature, regardless of whether notice was provided.

f. Communication with G2RS

We may send you certain communications in connection with your use of the APIs.

g. Feedback

If you provide feedback or suggestions about our APIs, then we (and those we allow) may use such information without obligation to you.

h. Non-exclusivity

The Terms are non-exclusive. You acknowledge that G2RS may develop products or services that may compete with the API Clients or any other products or services.

Section 3: API usage

a. Monitoring

YOU AGREE THAT G2RS MAY MONITOR USE OF THE APIS TO ENSURE QUALITY, IMPROVE G2RS PRODUCTS AND SERVICES, AND VERIFY YOUR COMPLIANCE WITH THE TERMS. This monitoring may include G2RS accessing and using your API Client credentials, for example, to identify security issues that could affect G2RS or its users. You will not interfere with this monitoring. G2RS may use any technical means to overcome such interference. G2RS may suspend access to the APIs by you or your API Client without notice if we reasonably believe that you are in violation of the Terms.

b. Security

You will use commercially reasonable efforts to protect data and user information collected by your API Client, including personal data, from unauthorized access or use and will promptly report to your users any unauthorized access or use of such information to the extent required by applicable law.

c. Ownership

G2RS does not acquire ownership of your API Clients, and by using our APIs, you do not acquire ownership of any rights in our APIs or the content that is accessed through our APIs.

d. User privacy and API clients

You will comply with all applicable privacy laws and regulations, including those applying to personal data.

Section 4: Prohibitions and confidentiality

a. API prohibitions

When using the APIs, you may not (or allow those acting on your behalf to):

Sublicense an API for use by a third party. Consequently, you will not create an API Client that functions substantially the same as the APIs and offer it for use by third parties.
Perform an action with the intent of introducing to G2RS products and services any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature.
Defame, abuse, harass, stalk, or threaten others.
Interfere with or disrupt the APIs, the servers, or the networks providing the APIs.
Promote or facilitate unlawful online activity, disruptive commercial messages, or advertisements.
Reverse engineer or attempt to extract the source code from any API or any related software, except to the extent that this restriction is expressly prohibited by applicable law.
Use the APIs for any activities where the use or failure of the APIs could lead to death, personal injury, or environmental damage (such as the operation of nuclear facilities, air traffic control, or life support systems).
Use the APIs to process or store any data that is subject to the International Traffic in Arms Regulations maintained by the U.S. Department of State.
Remove, obscure, or alter any G2RS terms of service or any links to or notices of those terms.

Unless otherwise specified in writing by G2RS, G2RS does not intend the use of the APIs to create obligations under the Health Insurance Portability and Accountability Act, as amended (“HIPAA”), and makes no representations that the APIs satisfy HIPAA requirements. If you are (or become) a “covered entity” or “business associate” as defined in HIPAA, you will not use the APIs for any purpose or in any manner involving transmitting protected health information to G2RS unless you have received prior written consent to such use from G2RS.

b. Confidential matters

Developer credentials (such as passwords, keys, client IDs, client secrets) are intended to be used by you and identify your API Client. You will keep your credentials confidential and make reasonable efforts to prevent and discourage other API Clients from using your credentials. Developer credentials may not be embedded in open-source projects.
Information accessed via the APIs shall be considered confidential information. You shall not disclose any confidential information to any third party without G2RS’ prior written consent. You may disclose G2RS confidential information when compelled to do so by law if you provide us reasonable prior notice, unless a court orders that we not receive notice.

Section 5: Content

a. Content accessible through our APIs

Our APIs contain some third-party content (such as text, images, videos, audio, or software). This content is the sole responsibility of the person who makes it available. We may sometimes review content to determine whether it is illegal or violates our policies or the Terms, and we may remove or refuse to display content. Your access to the content provided by the API may be restricted, limited, or filtered in accordance with applicable law, regulation, and policy.

b. Submission of content

Some of our APIs allow the submission of content. G2RS does not acquire any ownership of any intellectual property rights in the content that you submit to our APIs through your API Client, except as expressly provided in the Terms. For the sole purpose of enabling G2RS to provide, secure, and improve the APIs (and the related service(s)) and only in accordance with the applicable G2RS privacy policies, you give G2RS a perpetual, irrevocable, worldwide, sublicensable, royalty-free, and non-exclusive license to use content submitted, posted, or displayed to or from the APIs through your API Client. “Use” means use, host, store, modify, communicate, and publish. Before you submit content to our APIs through your API Client, you will ensure that you have the necessary rights (including the necessary rights from your end users) to grant us the license.

c. Retrieval of content

When a user’s non-public content is obtained through the APIs, you may not expose that content to other users or to third parties without explicit opt-in consent from that user.

d. Prohibitions on content

Unless expressly permitted by the content owner or by applicable law, you will not, and will not permit your end users or others acting on your behalf to, do the following with content returned from the APIs:

Scrape, build databases, or otherwise create permanent copies of such content, or keep cached copies longer than permitted by the cache header;
Copy, translate, modify, create a derivative work of, sell, lease, lend, convey, distribute, publicly display, or sublicense to any third party;
Misrepresent the source or ownership; or
Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices; or falsify or delete any author attributions, legal notices, or other labels of the origin or source of material.

Section 6: Privacy

a. G2RS privacy policies

By using our APIs, G2RS may use submitted information in accordance with our privacy policy and any other agreements we may have with you.

Section 7: Termination

a. Your obligations post-termination

Upon any termination of the Terms or discontinuation of your access to an API, you will immediately stop using the API. G2RS may independently communicate with any account owner whose account(s) are associated with your API Client and developer credentials to provide notice of the termination of your right to use an API.

b. Surviving provisions

When your use of the APIs comes to an end, those terms that by their nature are intended to continue indefinitely will continue to apply, including but not limited to: Sections 4b, 5, 7, 8, and 9.

Section 8: Disclaimer of warranties

a. As-is basis

THE APIS AND ALL RELATED DOCUMENTATION, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, G2RS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

b. No guarantee of availability

G2RS does not warrant that (i) the APIs will meet your requirements or expectations; (ii) the APIs will be available on an uninterrupted, timely, secure, or error-free basis; (iii) the results obtained from use of the APIs will be accurate, reliable, complete, or current; or (iv) any errors or defects in the APIs will be corrected.

c. Third-party content

G2RS makes no representations or warranties regarding any third-party content, data, or services accessible through the APIs. G2RS does not endorse any third-party content and shall have no liability arising from your reliance on or use of such content.

Section 9: Service-level agreements

a. Target uptime

G2RS will use commercially reasonable efforts to make the APIs available with a monthly uptime percentage of at least 99.5% (the “Uptime Target”), excluding Scheduled Maintenance and circumstances beyond G2RS’ reasonable control. “Monthly Uptime Percentage” means the total number of minutes in a calendar month minus the number of minutes of Downtime during that month, divided by the total number of minutes in the month.

b. Scheduled maintenance

“Scheduled Maintenance” shall mean Tuesday from 7:00 pm to 10:00 pm Pacific Time and Thursdays from 7:00 pm to 12:00 am Pacific Time, including any emergency maintenance. For any additional maintenance outside of these hours, G2RS will provide at least forty-eight (48) hours’ prior notice of any maintenance that is expected to cause API unavailability or degraded performance, via email to the address associated with your account.

c. Status and notifications

Your Customer Success representative will provide updates on API availability and any ongoing incidents.

Section 10: General provisions

a. Modification

We may modify the Terms or any portion to, for example, reflect changes to the law or changes to our APIs. You should look at the Terms regularly. We’ll post notice of modifications to the Terms within the documentation of each applicable API, on this website, and/or in the G2RS developers console. Changes will not apply retroactively and will become effective no sooner than 30 days after they are posted. Changes addressing new functions for an API or changes made for legal reasons will be effective immediately. If you do not agree to the modified Terms for an API, you should discontinue your use of that API. Your continued use of the API constitutes your acceptance of the modified Terms.
